The Role

The Solana Foundation is seeking a talented and experienced attorney to join the legal team. The Solana Foundation legal team is highly cross-functional and provides advice and counsel to all levels of the organization on a wide range of legal issues in the dynamic and evolving web3/blockchain space, including corporate, tech transactions, regulatory, commercial, compliance, employment, operations and litigation matters. This role is ideal for an individual who thrives in a startup environment, brings an interdisciplinary approach to solving problems, and is comfortable working independently and directly with various stakeholders, including senior level executives and the board. You will report to the General Counsel and be responsible for managing and executing on key transactions, initiatives and projects.

Responsibilities

• Provide thought leadership and strategic direction on novel digital currency and blockchain technology legal and regulatory issues.

• Provide end-to-end legal support to internal stakeholders, including business, developer relations, communications, validator relations, HR, finance and other teams.

• Draft, review, and negotiate a variety of complex agreements, including grants, commercial agreements, investments, intercompany agreements, service-provider agreements and others.

• Advise on legal risks, business strategies and policy matters.

• Interface with Solana ecosystem teams and stakeholders.

• Assist with corporate governance matters.

• Stay up-to-date on relevant U.S. and international laws and regulations and public policy matters affecting the industry.

Requirements

• Currently licensed in a U.S. state; JD or equivalent degree from a top-tier school with a strong academic record.

• Minimum of 4+ years of legal experience, preferably including in-house experience, with a background in corporate, technology transactions, securities and/or regulatory matters.

• Strong interest and understanding of digital currency and blockchain technology. Experience with legal issues arising in blockchain applications preferred.

• Excellent negotiating, drafting and transaction structuring skills (in particular, the ability to manage negotiations with multiple stakeholders), and strong analytical and organizational skills.

• Experience drafting, reviewing and negotiating commercial agreements, tech transactions, investments, vendor agreements and other complex matters.

• Proven problem-solving, communication, and interpersonal skills.

• Collaborative, positive and team-oriented style with a proven record of building strong relationships, both internally and externally, at all levels and across different teams and functions.

• Ability to work independently and manage multiple projects simultaneously.

• Excellent written and verbal communication skills.

• Solutions-oriented with strong business acumen.
